LOI terminated — Termination of the October 19, 2026 LOI; existing Datavault license remains in force
DataMEDS terminated its October healthcare-tech LOI over market conditions. The existing PharmacyChain license survives, but the broader expansion and planned acquisitions are gone.
DataMEDS is trying to build an integrated healthcare platform spanning pharmacy infrastructure, the EinsteinRx AI platform, PharmacyChain blockchain contracts, the Health Lives Here app, Corexa pharmacy services and Helomics diagnostics. The terminated LOI was meant to accelerate that strategy by adding drug-delivery and adherence IP, expanding Datavault’s healthcare rights, and giving DataMEDS control of Tollo Health/Health Lives Here.
The proposed expansion is now off the table. DataMEDS terminated the October 19 LOI effective immediately, eliminating the contemplated IP acquisitions, planned PharmacyChain expansion and proposed controlling-interest acquisition in Tollo Health. The company attributes the decision to market conditions, but gives no replacement transaction or revised operating plan. 〔0〕
The setback is strategic rather than an immediate balance-sheet hit. The LOI was nonbinding and no shares or termination fees are reported here, so DataMEDS avoids the proposed stock issuance and any obligations that would have accompanied closing. The company also says its existing Datavault PharmacyChain license remains active, limiting the damage to the loss of the broader expansion rather than a complete break with Datavault. 〔1〕 〔2〕
This reverses part of the recently advertised platform buildout. The prior October filing presented the transaction as a way to combine Datavault healthcare technology, biometric delivery verification, medication-adherence tools and Health Lives Here under one platform. With the LOI terminated only about two weeks after it was disclosed, the direction had been public but the cancellation is new; DataMEDS must now execute its existing businesses without the planned package of additional assets.
Bottom line: This is a modest strategic setback, not a collapse of the operating platform. DataMEDS keeps its existing PharmacyChain relationship and avoids new dilution, but loses the main announced route to broaden its AI, delivery and Health Lives Here capabilities. (This event does not itself establish a new operating plan.)
