DataMeds AI, Inc. (MEDS) · Oct 26, 2026 · Material agreement
89.5% ownership transfer — New holders ~89.5%; existing holders ~10.5%
DataMeds AI’s acquisition LOI broadens its healthcare stack, but proposed stock issuance would leave existing holders with only about 10.5%.
DataMeds is still in an early build-out phase: it is combining Health Lives Here, a 6,500-pharmacy network, and the recently acquired Helomics diagnostics business rather than operating as a scaled healthcare platform; its Q2 update reported a $1.779 million revenue quarter alongside an $18.363 million operating loss.
The proposed platform becomes broader, but not yet more executable. The new LOI adds REBOOT’s behavioral-health technology and products, expands the Datavault license, brings in additional QLPM delivery and biometric intellectual property, and restructures the planned Tollo/Health Lives Here combination. It supersedes the July LOI, which had expired on September 30, so the direction was already known; the new information is the broader package, added royalties, and revised ownership terms. 〔0〕
The economic cost is a transfer of control to the counterparties. Upon closing, EOS, Scilex, Datavault, Fortitude, HBA, THI and REBOOT are expected to receive approximately 89.5% of the fully diluted company, leaving existing public holders with about 10.5%. 〔1〕 The package also adds ongoing revenue royalties—6% to REBOOT and 5% each to EOS and Scilex—so the proposed assets would come with continuing claims on future revenue. 〔2〕
This remains a proposal, not a completed acquisition. The LOI is expressly non-binding except for selected provisions, and closing still depends on definitive agreements, due diligence, a fairness opinion, stockholder and Nasdaq approvals, and reducing liabilities to no more than $2 million. The company therefore has a more ambitious strategic blueprint, but the filing does not establish that the assets are producing meaningful revenue or that the transaction can close on the targeted timetable.
Bottom line: This advances DataMeds’ healthcare-platform story by adding more technology and operating pieces, but it does so through a highly dilutive, control-shifting proposal that is still several approvals and definitive contracts away from reality.
