$2M license — 666,667 shares valued at $2.0M, plus $50,000 upfront and revenue sharing
DataMeds AI’s new GLP-1 platform license strengthens its Health Lives Here strategy, but costs $2 million in stock and does not yet resolve Nasdaq risk.
DataMeds is trying to turn its Health Lives Here app into a consumer GLP-1 management platform, alongside its newly acquired Helomics cancer-diagnostics business. The REBOOT deal adds the missing care-management technology layer to that broader pivot.
The operating story advances, but this is an enabling asset—not revenue proof. REBOOT granted DataMeds an exclusive U.S. license for direct-to-consumer GLP-1 weight management and will reconfigure its platform as the DataMeds Platform. 〔0〕 The agreement gives DataMeds a more concrete product to integrate into its app, but the company receives no source code and cannot independently modify or build derivatives of the platform, leaving it dependent on REBOOT for the technology and its reconfiguration.
The price is material for a financially stressed company. DataMeds is issuing 666,667 shares valued at $2 million, with a possible additional issuance if the shares are worth less than $2 million after 180 days. 〔1〕 It also owes at least $100,000 for the reconfiguration work, including a $50,000 payment due within two business days, and must share adjusted gross revenue generated through the platform. That makes the license economically heavier than the headline cash payment suggests.
The Nasdaq benefit is only provisional. DataMeds says recent debt extinguishment, payable conversions, acquisitions and the new stock issuance put it above Nasdaq’s $2.5 million equity threshold, but Nasdaq has not formally confirmed compliance. The company remains exposed to renewed delisting proceedings if its next periodic report does not show continued compliance.
Bottom line: This materially strengthens DataMeds’ planned GLP-1 app, but it is a financed, revenue-sharing technology partnership rather than evidence of commercial traction. The immediate balance-sheet relief is not fully secured until Nasdaq confirms compliance, while dilution and platform dependence increase the cost of execution.
