Listing compliance restored — Stockholders’ equity exceeded the $2.5 million minimum
DataMeds AI regained Nasdaq equity compliance, easing an immediate listing threat—but the company must prove it again in its next periodic report.
DataMeds is trying to turn pharmacy, diagnostics, telehealth and AI assets into a connected healthcare platform, with its recent operating focus shifting toward Corexa pharmacy growth, Helomics’ ChemoFx commercialization and GLP-1 software. This filing removes an immediate listing threat, not a business problem. Nasdaq formally confirmed that DataMeds regained compliance with the minimum-equity rule. The requirement was at least $2.5 million of stockholders’ equity, versus the $(12.45) million deficit reported at December 31, 2025. (8-K cover page; Exhibit 99.1)
The relief is partly new because the outcome was already telegraphed. DataMeds had disclosed on October 13 that equity exceeded $2.5 million, and on October 16 it provided details on the transactions that got it there; this October 20 filing supplies Nasdaq’s formal confirmation rather than a fresh operating improvement. The earlier transactions included equity issuance and newly added assets, so the compliance fix appears tied to capital and transaction activity—not demonstrated profitability. The compliance is conditional in practical terms. The company still has to show that the equity threshold holds in its next periodic report, or it may face delisting proceedings. 〔0〕 That leaves the core financial durability question unresolved while management pursues its broader healthcare-platform buildout.
Bottom line: This is a meaningful administrative win and reduces near-term Nasdaq risk, but it mostly confirms a capital-driven fix already disclosed. It does not yet validate the underlying platform’s operating traction or eliminate the need to sustain the equity threshold.
Next periodic report must re-evidence equity compliance
