Beat — Adjusted EPS $0.58 vs ~$0.50 consensus; revenue $573.6M vs ~$558.6M
Distribution Solutions Group’s Q3 earnings beat consensus on revenue and adjusted EPS, though tariffs pressured gross margin ahead of its take-private vote.
DSG is a specialty distributor built around Lawson, Gexpro Services, TestEquity and its Canada business, using acquisitions and value-added industrial supply services to drive growth. Its operating story is now secondary to the agreed $35-per-share take-private merger with controlling shareholder LKCM Headwater, with the shareholder vote scheduled for November 27, 2026.
The quarter cleared the published bar. Revenue reached $573.6 million versus published consensus of roughly $558.6 million, while adjusted diluted EPS was $0.58 versus roughly $0.50. The upside came from 9.2% organic growth, with all business units contributing, rather than from acquisitions alone.
| Q3 2026 | Q3 2025 | Consensus | |
|---|---|---|---|
| Revenue (Financial Highlights) | $573.6M (+10.7%) | $518.0M | $558.6M |
| Adjusted diluted EPS (EPS reconciliation) | $0.58 | $0.40 | ~$0.50 |
| Adjusted EBITDA (Financial Highlights) | $56.8M (+17.3%) | $48.5M | |
| Adjusted EBITDA margin (Financial Highlights) | 9.9% (+50 bps) | 9.4% | |
| Gross margin (Revenue discussion) | 32.0% (-90 bps) | 32.9% | |
| Operating income (Financial Highlights) | $25.2M (+6.9%) | $23.6M |
Underlying execution improved, but the quality of growth is not clean. Adjusted EBITDA rose 17.3% and adjusted EBITDA margin expanded to 9.9%, yet gross margin fell from 32.9% to 32.0% because of mix and higher inbound tariffs. Pricing partly offset those pressures, but the company is converting strong sales growth into only modest GAAP operating-income growth. 〔0〕
Acquisitions remain part of the growth engine, while leverage and cash conversion bear watching. American Fasteners added about $3.8 million of Q3 revenue, and GradeEight closed after quarter-end; however, nine-month operating cash flow dropped to $20.4 million from $66.9 million as receivables and inventory absorbed cash, while net debt leverage stood at 3.4x. 〔1〕
The earnings beat matters less than it normally would because the take-private outcome is already the central event. The merger agreement, $35-per-share consideration and October 28 proxy filing were already public; this release mainly confirms that DSG is still growing and profitable while the transaction advances toward the shareholder vote.
Bottom line: DSG delivered a genuine earnings beat with strong organic growth and better adjusted profitability, but tariffs, mix and weak cash conversion temper the operating picture. For the current story, it is a modest business improvement inside an already-defined take-private process—not a change to the company’s strategic direction.
