DSG prices $800M debt for take-private at 10%

$800M notes priced — $800M at 10.000%, up from $700M

DSG’s debt offering grows to $800 million to fund its take-private deal, but the 10% coupon raises the cost of financing.

DSG is moving from specialty-distribution operator toward a sponsor-owned company. Its Lawson, Gexpro Services and TestEquity businesses serve MRO, OEM and industrial-technology customers, while LKCM Headwater is pursuing a take-private transaction for the remaining shares. The broader deal and original $700 million debt financing were already disclosed on October 5, so this filing is mainly an update to the transaction’s funding package.

The financing is now larger and fully priced, improving execution certainty but not economics. The notes were priced at $800 million with a 10.000% coupon and maturity in 2032. The offering was increased from $700 million, providing an additional $100 million for the merger, debt repayment, fees and potential acquisitions.

The extra funding comes with a meaningful recurring interest burden. At the stated 10% rate, the larger offering implies roughly $80 million of annual interest before any refinancing or repayment effects—about $10 million more than the previously announced $700 million size. The proceeds are still held in escrow and cannot be used unless the merger and other release conditions are satisfied. 〔0〕

This is confirmation of deal financing, not completion of the take-private. The merger still requires stockholder approval and other customary conditions, and the company explicitly says there is no assurance that the merger will close. 〔1〕 The notes alone equal roughly 4.1 times the company’s reported pro forma adjusted EBITDA for the trailing twelve months ended June 30, 2026, before considering existing debt or repayments—an indication that the post-transaction capital structure will remain debt-heavy.

Bottom line: DSG has secured a larger financing package for the planned take-private, which reduces one execution hurdle, but the 10% cost and added debt make the business’s post-deal financial burden heavier. The filing advances the transaction; it does not remove the closing or leverage risk.
