Distribution Solutions Group, Inc. (DSGR) · Oct 14, 2026 · Acquisition
$145M acquisition — $145M purchase price for approximately $110M annual sales
Distribution Solutions Group’s acquisition adds Winzer’s national MRO franchise network and FastServ stores, but requires $145M while a take-private deal remains pending.
DSG is an acquisition-led specialty distributor serving MRO, OEM and industrial customers, while also working through a pending take-private transaction led by affiliates of its CEO and controlling shareholder.
The deal expands DSG’s MRO reach in a concrete way. GradeEight brings Winzer’s more than 270 franchisees, roughly 12,000 customers, over 65,000 SKUs and eight FastServ retail locations across Texas and Arkansas. 〔0〕 This complements Lawson’s existing MRO distribution model rather than pushing DSG into a new market. (Exhibit 99.1)
The acquisition is sizeable relative to the disclosed revenue contribution. DSG will pay approximately $145 million for a business generating about $110 million in annual sales, with management saying it should improve Adjusted EBITDA margins. That is a strategic expansion, but the filing provides no purchase multiple, profit figure, synergy target or detailed return case, so the claimed margin benefit cannot yet be independently tested. | Filing figure | Amount / timing | Filing location |
|---|---|---|
| Purchase price | Approximately $145 million | Item 8.01 |
| GradeEight annual sales | Approximately $110 million | Exhibit 99.1 |
| Funding | Existing cash plus borrowings under DSG’s $400 million revolving credit facility | Item 8.01 |
| Expected closing | Fourth quarter of 2026 | Exhibit 99.1 |
Funding adds execution and balance-sheet complexity. The purchase is not subject to a financing condition, and DSG expects to use cash and its existing revolver. That makes completion more certain than a deal dependent on new financing, but it also means the acquisition consumes liquidity while DSG is already navigating a pending change to private ownership. (Item 8.01)
This is new strategic information, not a confirmation of the take-private deal. The pending merger and planned Nasdaq exit were already disclosed in July and September; this filing changes the operating story by adding another MRO platform before that transaction is completed.
Bottom line: DSG is adding a meaningful MRO distribution network with credible customer and geographic overlap, but the filing gives too little profitability detail to call the price clearly attractive. The event advances the growth strategy while increasing integration and funding demands during an already complicated ownership transition.
GradeEight closing expected in Q4 2026
