Profound Medical signs Cook distribution deal, but FDA clearance comes first

Cook distribution deal — Five-year term begins only after FDA clearance; no pre-clearance purchase obligations

Profound Medical’s new Cook distribution agreement broadens TULSA-PRO’s U.S. reach, but revenue is gated by FDA clearance and has no minimum volume commitment.

Profound is a commercial-stage medical-device company trying to turn TULSA-PRO from an installed-base product into a broader recurring-revenue platform. Before this filing, the company had 84 TULSA-PRO systems installed, a roughly $25 million 2026 revenue target, and an existing Siemens Healthineers co-sales relationship; preliminary third-quarter revenue of $9.8–$10.0 million had already been disclosed as materially above consensus.

The agreement expands distribution rather than adding immediate revenue. Cook can now sell TULSA-PRO as part of its Copernicus iMRI offering, while Profound keeps the higher-quality recurring relationships for single-use treatment kits and service contracts. The filing states, “Cook will purchase TULSA-PRO systems from Profound at a predetermined transfer price for distribution in the United States,” and that customers buying through Cook will obtain disposables and service contracts directly from Profound. 〔0〕 〔1〕

The near-term financial effect is limited and contingent. Cook has no obligation to buy, forecast, pay for, or perform before the required FDA clearance, and Profound cannot ship products through the channel beforehand. The five-year term also does not begin until that clearance, while Cook can walk away if clearance has not arrived by April 30, 2027. 〔2〕 〔3〕

The strategic upside is real but not yet validated by volume. Cook gives Profound access to hospitals building new interventional-MRI suites and may improve system placements, but the agreement discloses no purchase commitments, pricing, or guaranteed sales. The restriction on appointing another distributor for Cook-equipped sites is also conditional and can end if Cook misses specified sales percentages, so this is an enabled channel—not proof of demand.

Bottom line: This strengthens Profound’s commercialization setup and preserves recurring revenue economics, but it does not change near-term numbers until FDA clearance and actual Cook-led placements arrive. The filing is a modest strategic positive, not a business-model reset.
