$137M acquisition — $210.41 cash plus 3.7052 Bank7 shares per Century share
Bank7’s merger with Century is complete, expanding its community-banking footprint into New Mexico while leaving integration as the next test.
Bank7 is a regional community-bank consolidator serving business owners and entrepreneurs; this deal extends its footprint from Oklahoma, Texas and Kansas into New Mexico, adding Century’s eight branches and a New Mexico deposit franchise. The transaction was already announced in September, with the November 1 closing date previously expected, so the filing mostly converts an anticipated strategy into an operating reality.
The acquisition closed on schedule, but the strategic news is already known. Century merged into Bank7 effective November 1, with Bank7 remaining the surviving company. 〔0〕 The consideration—approximately $210.41 in cash and 3.7052 Bank7 shares per Century share—was disclosed when the deal was announced, as was the approximately $137.3 million transaction value.
The one genuinely new operating detail is leadership continuity at Century Bank. Anne Kain, Century’s existing CFO, becomes president of Century Bank, while the release says existing senior leadership will remain involved. 〔1〕 That supports continuity with Century’s local customers, but it does not yet demonstrate cost savings, earnings accretion, or successful integration.
The deal advances Bank7’s geographic expansion without yet proving the economics. Bank7 now reports 12 branches in its legacy markets plus eight Century branches in New Mexico and a Dallas loan-production office. 〔2〕 The filing provides no updated financial contribution, synergy realization, asset-quality data, or revised earnings outlook, so the business impact remains execution-dependent rather than newly measurable.
Bottom line: This is the planned completion of a known acquisition, not a fresh change to Bank7’s investment case. It puts the New Mexico expansion in place, but the value creation still depends on integration and operating performance that have not yet been demonstrated.
