Miss — Diluted EPS $1.06 vs ~$1.07 consensus
Bank7’s Q3 earnings came in just below consensus, while regulatory and shareholder approvals put its Century acquisition on track for November 1.
Bank7 is a highly capitalized commercial bank serving business owners across Oklahoma, Texas and Kansas while expanding its Southwest footprint through acquisitions; the Century deal is its planned entry into New Mexico. Published Q3 EPS estimates clustered around $1.07, leaving the reported $1.06 diluted EPS just below expectations.
The quarter was operationally solid, but not a clean earnings beat. Net income rose to $10.20 million from $8.35 million in Q2, while pre-provision pre-tax earnings increased to $13.62 million from $11.02 million. That improvement came despite a weaker year-over-year comparison: Q3 net income fell from $10.84 million to $10.20 million and diluted EPS declined from $1.13 to $1.06. | Metric | Q3 2026 | Comparison / expectation |
|---|---|---|
| Diluted EPS | $1.06 | ~$1.07 consensus |
| Net income | $10.20M | $8.35M in Q2 |
| Pre-provision pre-tax earnings | $13.62M | $11.02M in Q2 |
| Total assets | $2.01B | $1.91B in Q2 |
| Total loans | $1.63B | $1.60B in Q2 |
| Net interest margin | 4.77% | 5.07% in Q3 2025 |
| Total deposits | $1.72B | $1.70B at December 31, 2025 |
The core banking engine is holding up, though margins remain under pressure. Loans grew 2.22% sequentially and total interest income rose 3.25%, while interest expense declined year over year as deposit costs fell. But reported net interest margin was 4.77%, down from 5.07% a year earlier, and noninterest income dropped sharply year over year to $1.07 million from $2.21 million. The acquisition story advanced from announced to nearly executable. Century Financial shareholders approved the merger and all regulatory approvals are in hand, with closing expected November 1, 2026. The transaction is still the main strategic catalyst: it would add roughly $1.2 billion of deposits, extend Bank7 into New Mexico and create a combined company of about $3.3 billion in assets. 〔0〕 The direction was already public since the September 17 announcement, so the new information is execution progress rather than a surprise.
Capital and credit quality leave room to absorb the expansion. Consolidated Tier 1 leverage, Tier 1 risk-based capital and total risk-based capital ratios were 14.12%, 15.17% and 16.30%, respectively, while nonperforming assets were 0.45% of total loans and net charge-offs were 4 basis points. 〔1〕 Those figures support the funding capacity for the deal, although the promised 25%+ EPS accretion remains a forward-looking transaction assumption rather than a realized result. Bottom line: This was a narrow earnings miss wrapped in a largely constructive operating quarter. The bigger business change is that the already-announced Century expansion has cleared its final approval hurdles and is now approaching closing.
