$10M financing — $10.0M gross; $6.605M net proceeds
T3 Defense completed its $10M preferred-stock and warrant financing. The cash helps fund operations, but debt repayment, fees and dilution reduce the benefit.
T3 Defense is a recently repositioned aerospace-and-defense holding company building a portfolio of mission-critical suppliers, UAV businesses and defense technology through acquisitions. The company entered this financing from a strained liquidity position: as of June 30, 2026, it reported $4.1 million of cash, $9.8 million of six-month operating cash burn and said it would need additional liquidity absent other actions.
The financing adds meaningful near-term runway, but it is not a clean $10 million cash raise. T3 completed the sale of 200 units for $10.0 million, but retained $6.605 million after repaying principal and accrued interest on a term note and paying the placement agent fee. That net amount is sizable against the company’s previously stated approximately $5 million operating need for the following 12 months, although that comparison is based on June 30 conditions and does not establish a new cash runway.
The capital comes with substantial future dilution and seniority over common stock. The securities issued are Series B convertible preferred stock plus warrants initially covering 14,851 common shares. 〔0〕 〔1〕 The preferred stock sits ahead of common equity in a liquidation and carries a $50,000-per-share liquidation preference, while the warrants add another potential source of share issuance.
Against expectations, this is mainly execution of an already announced financing rather than a surprise strategic funding event. The February 2026 agreement contemplated a total $20 million placement, including this additional 200-unit tranche, so the direction was already known; the new information is that the second closing actually occurred and delivered $6.605 million of net proceeds.
| Figure | Oct. 22, 2026 | Original deal / reference |
|---|---|---|
| Gross proceeds (Financing) | $10.000M | $20.000M total placement |
| Net proceeds (Financing) | $6.605M | |
| Units sold (Financing) | 200 | 400 total contemplated |
| Common warrants issued (Financing) | 14,851 shares |
Bottom line: This materially improves near-term liquidity for a capital-hungry defense roll-up, but the benefit is reduced by debt repayment, fees and additional convertible-equity dilution. The event advances the funding story more than the operating story, and much of it was already anticipated from the February agreement.
