T3 Defense acquisition adds KeepZone AI, but closing and dilution remain

$1M acquisition — 100% of KeepZone AI for $1.0M in stock and/or pre-funded warrants

T3 Defense signed an acquisition agreement for KeepZone AI, expanding its defense-AI platform. The $1 million stock deal is strategic, but not yet closed and carries dilution risk.

T3 Defense is still building a defense-focused acquisition platform, moving from its former fintech identity toward a portfolio spanning AI defense, UAVs, command-and-control and other mission-critical suppliers. KeepZone AI fits that strategy: it markets AI-enabled security across air, land and sea, including perimeter detection, counter-drone systems, surveillance and autonomous security operations.

The deal advances the stated strategy, but not yet the financial story. T3 has agreed to acquire 100% of KeepZone AI for $1 million, payable in T3 common stock and, where required, pre-funded warrants. The filing provides no KeepZone revenue, backlog, customer, profitability or contract-value data, so the acquisition adds a strategically relevant capability rather than measurable operating scale.

Deal termFiling detail
Purchase price$1.0 million (Consideration)
Acquired ownership100% of KeepZone AI (Section 4.3)
ConsiderationT3 stock and/or pre-funded warrants (Sections 2.2(a)-(b))
Warrant exercise price$0.0001 per share (Section 2.2(b))
Warrant lifeFive years (Section 2.2(d))
Closing deadline60 days after October 26, 2026 (Section 2.6(d))

The consideration structure limits immediate cash use but creates dilution exposure. The purchase is cash-free to T3, but the seller can receive common shares or warrants exercisable for shares, with cashless exercise permitted. 〔0〕 The 4.9% ownership blocker limits how much the seller can hold at once, not the total securities issued, and the agreement also includes a six-month true-up that can require additional shares if T3’s stock price falls and resale conditions are not met. That makes this a low-cash acquisition, but not a no-cost one for existing shareholders.

Execution risk is still material because this is an agreement, not a completed acquisition. Closing depends on Nasdaq notifications and approvals plus written change-of-control consents or waivers from Skyline Software Systems, HEVENDRONES and SENSORZTECH. Either party may terminate if closing has not occurred within 60 days, subject to the agreement’s exceptions. 〔1〕

Bottom line: This is a strategically coherent addition to T3 Defense’s AI and homeland-security portfolio, and modestly strengthens the acquisition story versus the company’s standing plan. But the filing does not prove KeepZone’s economic contribution, and the stock-and-warrant payment plus closing conditions leave dilution and execution questions unresolved.
