Remedy accepted in principle — CMA acceptance in principle; NoteMachine/TestLink UK divestiture still required
Brink’s acquisition of NCR Atleos clears a key UK regulatory hurdle, but the required NoteMachine/TestLink sale still must close.
Brink’s is pursuing a roughly $6.6 billion acquisition of NCR Atleos to combine its cash-logistics network with Atleos’ ATM-management and ATM-as-a-Service operations, with the strategic case built around broader recurring revenue and $200 million of annual cost synergies. This filing advances that deal, but does not clear it. The UK regulator has accepted Brink’s proposed remedy in principle, removing the immediate threat of a Phase 2 investigation if Brink’s completes the required divestiture. 〔0〕
The remedy was already becoming the expected path, so the surprise is limited. Brink’s had disclosed on September 30, 2026 that the UK review had identified competition concerns and that a sale process for NoteMachine/TestLink UK was progressing. The new information is that the CMA considers the proposed remedy acceptable in principle—not that the regulatory issue has disappeared.
The strategic economics are presented as intact, but execution risk remains concentrated in the sale. Management says the UK divestiture was already contemplated in its transaction metrics and does not reduce the targeted $200 million of annual run-rate cost synergies within three years of closing. 〔1〕 That preserves the headline deal thesis on paper, but Brink’s still needs to select an acceptable buyer and finish the disposal quickly enough to avoid a Phase 2 referral.
Bottom line: This is a modestly positive regulatory step for the NCR Atleos acquisition, not final clearance. It reduces one obstacle while shifting the immediate burden to completing the UK divestiture.
