Silgan credit agreement consent clears path for Trivium deal

Lender consent secured — Consent covers MetalCo formation, covenant testing and Senior Notes Redemption

Silgan’s credit agreement consent advances its Trivium acquisition by freeing transaction proceeds for debt redemption, but the deal still awaits closing.

Silgan is reshaping itself into two packaging platforms: a metal-packaging joint venture with American Industrial Partners that will acquire Trivium, while Silgan retains its dispensing and specialty-closures businesses. The transaction was announced on October 19, 2026 and is expected to close in mid-2027, so this filing is an execution step rather than a new strategic surprise.

The key development is lender approval of the transaction structure. Creditors consented to moving Silgan’s metal-container and non-dispensing-closures businesses into MetalCo, designating MetalCo and its future subsidiaries as unrestricted subsidiaries, and releasing contributed subsidiaries from existing guarantees and pledged equity. 〔0〕

The consent also improves flexibility around the cash proceeds. Rather than automatically applying qualifying transaction proceeds to repay loans, Silgan may use them to redeem senior notes, including its 4.25% notes due 2031. 〔1〕 That gives Silgan more control over how it reduces debt after the transaction, although the filing does not disclose the eventual redemption amount or timing.

This advances the deal but does not de-risk its main remaining hurdles. The consent is conditional on the MetalCo transactions closing; if they are terminated, MetalCo and its subsidiaries must cease being unrestricted subsidiaries. 〔2〕 Regulatory approvals, works-council processes and customary closing conditions remain outstanding.

Bottom line: This is a modestly positive financing and covenant milestone for an already announced transformation. It removes a lender-consent obstacle and increases debt-management flexibility, but it does not yet change the transaction’s expected timing or confirm that the deal will close.
