Beat — Diluted EPS -$0.03 vs ~$0.12 loss consensus; revenue $76.2M vs ~$70.4M
TeraWulf’s Q3 earnings beat consensus as HPC lease revenue surged, though higher debt and non-cash gains complicate the headline.
TeraWulf is in the middle of a business-model transition: from bitcoin mining toward a contracted AI/HPC infrastructure landlord, with Lake Mariner generating revenue and Justified and Muskie supplying the next development runway. Q2 had already established the core setup—102 MW operating, 336 MW under construction, and HPC lease revenue above 70% of total revenue.
The quarter beat the financial bar. Q3 revenue reached $76.2 million versus roughly $70.4 million consensus, while diluted EPS was a $0.03 loss versus an expected $0.12 loss. HPC lease revenue rose 97% sequentially to $63.0 million, and the company’s narrower HPC rent measure reached $46.0 million, up 71%. 〔0〕
| Metric (filing section) | Q3 2026 | Q2 2026 | Consensus / comparison |
|---|---|---|---|
| Total revenue (Financial Performance) | $76.2M (+70.1%) | $44.8M | ~$70.4M |
| HPC lease revenue (Financial Performance) | $63.0M (+97%) | $31.9M | |
| Diluted EPS (Statement of Operations) | -$0.03 | -$1.13 | ~$0.12 loss |
| Adjusted EBITDA (Adjusted EBITDA) | -$12.8M | -$18.3M | |
| Cash, cash equivalents & restricted cash (Financial Performance) | $2.4B | $3.0B | |
| Net debt (Financial Performance) | $3.4B (+$0.7B) | $2.7B |
The operational improvement is more important than the GAAP profit headline. TeraWulf posted $709.9 million of net income, but $728.4 million came from a non-cash change in the fair value of warrant and derivative liabilities, while the quarter also included a $95.0 million gain on selling its Abernathy stake. The cleaner signal is that adjusted EBITDA improved to a $12.8 million loss from a $18.3 million loss as HPC revenue scaled.
The filing shows execution progressing, but not a new change in direction. The company completed the Abernathy monetization for approximately $530 million of aggregate consideration, upsized its revolving credit commitments to $400 million, and reiterated the near-term delivery path for 168 MW at CB-4 in November–December 2026 and 168 MW at CB-5 in Q1 2027. These developments strengthen funding and delivery visibility, but most were already telegraphed in the prior quarter; the new information is completion and continued progress rather than a fresh commercial breakthrough.
The main offset is balance-sheet pressure. Cash and restricted cash fell from $3.0 billion to $2.4 billion while net debt rose to $3.4 billion, reflecting the capital intensity of building out contracted capacity. The company is converting capacity into revenue, but it still has to fund a large construction program before the longer-dated Justified and Muskie projects contribute meaningfully.
Bottom line: This is a genuine earnings beat with improving HPC economics and execution on the contracted buildout. It advances the AI-infrastructure transition, but the improvement remains capital-intensive and partly obscured by non-cash accounting gains rather than operating profit.
