Google backstop — Google can cure defaults, assume the lease, or pay a termination fee
TeraWulf’s new agreement formalizes Google’s protections and step-in rights around the Anthropic data center lease, reducing project-financing risk.
TeraWulf is shifting from a bitcoin-mining base toward contracted AI infrastructure, with Anthropic already committed to a 20-year lease covering roughly 401 critical IT MW at the Justified Data Campus; initial delivery is expected in the second half of 2027 and full delivery in early 2028.
This filing does not add a new customer or new capacity; it strengthens the financing structure around an already announced project. The agreement gives Google protections if Anthropic defaults or becomes insolvent, including the ability to cure missed payments, assume the lease, or reject it subject to a termination payment. 〔0〕
The main business benefit is lower execution and lender risk for the 401MW buildout. Google cannot simply walk away from the project at the first sign of trouble: it generally must wait through verification and contractual election periods, and it cannot exercise the rejection option during the first six years after the agreement becomes effective unless the equipment-capacity trigger occurs. 〔1〕 That is meaningful support for a capital-intensive campus whose economics depend on construction completion and long-term occupancy.
The support is conditional rather than an unconditional Google guarantee. The agreement leaves the termination-fee schedule incomplete, with the key dollar and percentage limits still shown as blanks. Google’s ultimate exposure therefore cannot be quantified from this filing alone.
TeraWulf also gives Google substantial control over the project’s operating and contractual flexibility. The tenant must use only Google-approved tensor-processing units, while Google receives consent rights over material lease amendments and certain transfers. 〔2〕 Those provisions help protect Google’s equipment and lease position, but they make the project more dependent on Google’s technology and approvals.
Bottom line: This is a modestly positive de-risking step around TeraWulf’s already-public Anthropic buildout, not a new growth announcement. It improves financing and continuity protection, but the support is limited, conditional, and partly offset by greater Google control and undisclosed termination-fee terms.
