$100M revolver added — Revolving commitments rise to $300M from $200M; Term A maturity moves to November 2031
EVERTEC’s debt refinancing pushes maturities to 2031 and expands revolver capacity to $300 million, preserving room for acquisitions.
EVERTEC is in an expansion phase, not a defensive retrenchment. Its Latin America payments and technology push—through assets including Sinqia and the Dimensa acquisition—has been producing strong growth, while third-quarter 2026 results led management to raise its full-year outlook. The filing mainly strengthens the financing architecture around that strategy. EVERTEC refinances $387.8 million of Term A debt and extends the Term A and revolving maturities from December 1, 2027 to November 5, 2031, while replacing the existing $200 million revolver and adding another $100 million of commitments. The new capacity is expressly available for general corporate purposes, including permitted acquisitions. 〔0〕 The key change is capacity, not immediate leverage reduction. The $200 million replacement revolver repays the old facility; the additional $100 million raises total revolving commitments to $300 million, giving EVERTEC more optionality for acquisitions or liquidity without saying that the full amount is drawn. The filing does not disclose the new pricing, so it cannot establish whether the refinancing lowers borrowing costs. 〔1〕 The refinancing also removes a nearer-term maturity pressure point. Prior filings described a $415 million Term A facility and $200 million revolving facility maturing on December 1, 2027; the amendment pushes both facilities roughly four years farther out, while leaving the existing Term B debt structure in place. The collateral package is preserved rather than weakened. EVERTEC reaffirms that its guarantees and security documents remain effective, with liens continuing to secure the amended obligations. 〔2〕 Bottom line: This is a modestly positive financing event: it removes the 2027 refinancing deadline and creates $100 million of incremental acquisition capacity. It improves strategic flexibility, but it does not by itself reduce debt or prove cheaper funding terms.
