Refinancing term sheet — Signed term sheet by October 30; refinancing still targeted for January 30, 2027
Spruce Power’s refinancing term sheet removes the immediate October maturity hurdle, but definitive documents and funding remain outstanding.
Spruce is a residential-solar asset owner whose central near-term problem is refinancing its project-level debt. As of June 30, 2026, it had $679.5 million of outstanding principal debt and $44.7 million of cash, while its earlier financing amendments made a signed refinancing term sheet the key condition for extending the SP1 maturity to January 30, 2027.
The filing clears the immediate October 30 hurdle, which is modestly positive for the business story. Subsidiaries signed a term sheet covering a full refinancing of the SP1, SP2, and SP3 facilities. That preserves the path to the January 30, 2027 refinancing deadline and avoids the immediate trigger for adding SP4/SP5 collateral, unless the refinancing later fails.
This is progress, not a completed solution. The term sheet is non-binding, and its economic terms can still change before definitive documents are signed. 〔0〕 The company therefore has bought time and reduced the immediate covenant pressure, but it has not yet removed the refinancing, funding, or going-concern risk that has defined the story. That makes the event better than the pre-filing deadline risk, but not a full de-risking of the balance sheet.
Bottom line: Spruce cleared an important refinancing checkpoint, but only with a preliminary agreement. The story improves slightly because the near-term maturity pressure is deferred; the real test is whether definitive financing closes by January 30, 2027.
Definitive refinancing documents and closing by January 30, 2027
