Texas redomiciliation
Spruce Power’s redomiciliation to Texas is now effective. The legal framework changed, but its solar operations, contracts and share ownership did not.
The operating story is unchanged. Spruce remains a U.S. residential-solar asset owner and operator, managing roughly 83,000 home solar assets and customer contracts while also servicing third-party systems. The Texas move had already been approved through the 2026 annual-meeting process, so this filing is the legal completion of a previously disclosed corporate action rather than a new business catalyst.
The filing mainly changes the company’s legal home and shareholder framework. Delaware law, the prior charter and bylaws were replaced by Texas law and new governing documents, and the company acknowledges that certain stockholder rights changed. 〔0〕 Shares converted one-for-one, with no exchange required, and material contracts continued without adverse effect. 〔1〕 〔2〕
Bottom line: This is housekeeping, not an operating update. The company is now legally domiciled in Texas, but the solar assets, contracts, employees, management and share ownership carry on essentially unchanged; the market already knew this was coming.
