Guidance raised — FY26 Normalized FFO raised to $2.08-$2.09 from $2.00-$2.04
CareTrust’s third-quarter earnings came with higher 2026 guidance, fresh financing capacity and the first closing of its major LNT UK care-home deal.
CareTrust is in an aggressive healthcare-real-estate expansion phase, building a larger senior-housing operating platform alongside its traditional skilled-nursing and senior-housing net-lease portfolio. The LNT relationship was already announced before this release, so the strategic direction was known; the new information is that the first closing has occurred and the company is now funding the next leg of that buildout.
The quarter shows operating momentum, not just deal activity. Third-quarter revenue rose to $176.4 million from $132.4 million, while Normalized FFO per share reached $0.54 versus $0.45 a year earlier. The headline GAAP EPS stayed at $0.35 because CareTrust is absorbing substantially more depreciation, interest expense and transaction costs as the asset base expands.
| Metric | Q3 2026 | Q3 2025 | Prior guidance / comparison |
|---|---|---|---|
| Total revenue (Income Statement) | $176.4M (+33%) | $132.4M | |
| Normalized FFO/share (FFO reconciliation) | $0.54 (+20%) | $0.45 | |
| Normalized FAD/share (FFO and FAD reconciliation) | $0.53 (+20%) | $0.44 | |
| Net debt / run-rate EBITDA (Debt reconciliation) | 1.37x | 0.42x | Target 4.0x-5.0x |
| FY26 Normalized FFO/share (Guidance) | $2.08-$2.09 | $2.00-$2.04 | |
| FY26 Normalized FAD/share (Guidance) | $2.04-$2.05 | $1.98-$2.02 |
The real upgrade is the higher full-year outlook. CareTrust lifted the 2026 Normalized FFO range to $2.08-$2.09 per share from the prior $2.00-$2.04 range, and Normalized FAD to $2.04-$2.05 from $1.98-$2.02. That is more meaningful than the quarter alone: management is saying the growth pipeline and recently completed investments should produce more cash earnings than it previously expected. 〔0〕
The LNT deal has crossed from narrative into owned assets. CareTrust closed the initial group of 23 UK care homes for approximately $733 million, with 22 additional homes expected through 2027. The transaction was already public, so this is partly confirmation rather than a surprise; nevertheless, the closing materially increases the company’s exposure to UK senior housing and its planned SHOP conversion strategy. 〔1〕
Funding capacity is ample, but growth is becoming more capital-intensive. The company added a $700 million unsecured term loan, expanded its revolver to $2.0 billion and had $425 million drawn on that revolver as of the release. Leverage remains unusually low at 1.37x run-rate EBITDA, giving CareTrust room to finance the remaining LNT homes and other investments. The trade-off is visible in the numbers: total debt rose to $2.1 billion from $900 million a year earlier, shares outstanding increased sharply, and quarterly transaction costs reached $8.9 million.
The main execution test is now operational, not financial. The new UK homes are still being leased up and are intended to transition toward a senior-housing operating model; CareTrust must prove that occupancy, operating margins and conversion timing justify the scale of the investment. The filing itself flags that the anticipated SHOP transition may not occur on the expected timeline, so the guidance increase is a strong near-term signal but does not yet validate the full long-term UK platform thesis.
Bottom line: This is a clearly positive earnings update because guidance moved higher while CareTrust secured the capital and completed the first major LNT closing. The strategic plan was known, but execution is now advancing faster and at greater scale than the prior outlook implied.
Remaining 22 LNT homes acquired on a rolling basis through 2027
