$3.2B credit facility — $2.0B revolver + $700M new term loan + $500M existing term loan; prior revolver $1.2B
CareTrust’s new credit facility expands total commitments to $3.2B, giving its acquisition pipeline more funding flexibility without immediately adding properties.
CareTrust is in an aggressive healthcare-real-estate expansion phase, building a much larger skilled-nursing and senior-housing portfolio across the U.S. and U.K.; it recently added major U.K. and skilled-nursing acquisition pipelines. This filing supplies the financing infrastructure for that strategy. The amended agreement lifts the unsecured revolver from the prior $1.2 billion facility to $2.0 billion and adds a new $700 million term loan, alongside the existing $500 million term loan. The company says borrowings may refinance debt, fund investments and support general corporate purposes. 〔0〕
| Facility | October 29, 2026 | Prior facility |
|---|---|---|
| Revolving commitments (Credit Agreement) | $2.0B | $1.2B |
| New term loan facility | $700M | — |
| Existing term loan facility | $500M | $500M |
| Total stated credit commitments | $3.2B | $1.7B |
The key change is capacity, not operating performance. CareTrust has not announced a new property purchase or said the full $700 million term loan was drawn; the filing creates funding access that can support the acquisition program rather than immediately adding assets or earnings. It also leaves up to another $1.0 billion of potential future capacity, though the company has no commitments for that expansion today. 〔1〕
The trade-off is greater financing flexibility alongside more debt capacity. The new facilities extend the revolver to February 2031, the new term loan to February 2032, and preserve covenant-based controls, giving CareTrust longer-dated funding for growth while retaining exposure to interest costs and leverage if it draws heavily. 〔2〕
Bottom line: This is a meaningful enabler of CareTrust’s already-visible acquisition strategy, not a new earnings event. It modestly improves the business story by removing a financing bottleneck, while the value of the capacity depends on how profitably it is deployed and how much debt is ultimately drawn.
