Miss — Diluted EPS $0.08 vs ~$0.12 consensus
ARKO’s third-quarter earnings missed the EPS consensus, but stronger fuel margins and dealerization progress lifted the 2026 EBITDA floor.
ARKO is midway through a dealerization-led transformation: shrinking company-operated retail while shifting sites into its wholesale network, investing in higher-margin stores, and using newly public ARKO Petroleum to expand fuel distribution. The prior framework already called for $245 million–$265 million of 2026 Adjusted EBITDA and continued dealer conversions, while the USPP acquisition was already announced.
| Q3 2026 | Q3 2025 | Consensus / prior guide | |
|---|---|---|---|
| Revenue (Income Statement) | $2.390B (+18.3%) | $2.021B | ~$2.02B |
| Diluted EPS (Income Statement) | $0.08 | $0.10 | ~$0.12 |
| Adjusted EBITDA (Reconciliation) | $75.7M (+0.7%) | $75.2M | |
| FY26 Adjusted EBITDA guidance (Full Year 2026 Guidance) | $250M–$265M | $245M–$265M | |
| Retail fuel-margin outlook (Full Year 2026 Guidance) | 47.0–49.0¢/gal | 45.5–47.5¢/gal |
The clean earnings score is a miss, not a beat. Diluted EPS of $0.08 came in below the published consensus of roughly $0.12, even though revenue exceeded the roughly $2.02 billion expectation. The revenue outperformance is less economically impressive than it looks because fuel revenue rose with pricing while retail fuel gallons sold fell 7.0% year over year (Retail Segment Highlights). Net income attributable to common stockholders also declined to $9.2 million from $12.0 million (Income Statement).
The underlying operating trend is better than the EPS headline. Adjusted EBITDA was essentially flat in the quarter, but the mix improved: merchandise margin expanded 110 basis points to 34.8%, same-store fuel contribution rose 2.7%, and same-store merchandise contribution was roughly unchanged despite the smaller retained-store base. That supports the transformation thesis, although total merchandise contribution fell 7.2% and total fuel contribution fell 3.8% as stores were closed or converted.
Guidance improved modestly, but the raise is mostly a floor lift. ARKO increased the bottom of its full-year Adjusted EBITDA range by $5 million to $250 million while leaving the $265 million ceiling unchanged. It also raised its retail fuel-margin outlook, explicitly relying on higher margins to offset lower fuel volumes. This is a genuine improvement versus the prior outlook, but not a broad reset of the earnings trajectory.
The strategic growth piece remains prospective rather than delivered. The USPP deal could add roughly 14% to APC’s fuel volume and about $30 million of annualized Adjusted EBITDA, but it was already announced before this filing and remains expected to close in the fourth quarter. The quarter therefore confirms the plan rather than creating a new acquisition surprise. The $62.1 million debt repurchase is balance-sheet positive, but it also consumed cash ahead of the transaction.
Bottom line: ARKO missed the quarterly EPS bar, but the business is executing well enough on margins and dealerization to support a modestly higher EBITDA floor. The filing is mixed overall, with the guidance raise preventing the earnings miss from becoming a clear setback.
