Guidance raised — FY Adjusted EBITDA $156–157M vs prior ~$156M
ARKO Petroleum earnings show higher EBITDA and cash generation, but weaker volumes and operating cash flow temper the guidance raise.
ARKO Petroleum is a newly public fuel-distribution growth vehicle using dealer conversions, fleet-fueling expansion and acquisitions to build scale; before this filing, its full-year 2026 Adjusted EBITDA outlook was approximately $156 million, while the USPP acquisition and its expected $30 million annualized EBITDA contribution had already been announced.
The quarter was operationally better, but not a clean volume-led acceleration. Adjusted EBITDA rose 9.4% year over year to $41.0 million and Discretionary Cash Flow rose 22% to $32.3 million, while net income increased to $13.3 million. The improvement came despite lower wholesale gallons and weaker comparable-site performance: dealer conversions, wider fuel margins and fuel-market volatility supplied most of the lift rather than underlying volume growth.
| Q3 2026 | Q3 2025 | Prior guidance / comparison | |
|---|---|---|---|
| Adjusted EBITDA (Financial Highlights) | $41.0M (+9.4%) | $37.4M | |
| Net income (Income Statement) | $13.3M (+32.1%) | $10.1M | |
| Discretionary Cash Flow (Cash Flow Reconciliation) | $32.3M (+22.0%) | $26.5M | |
| Net cash from operations (Cash Flow Statement) | $21.6M (-13.8%) | $25.0M | |
| FY Adjusted EBITDA guidance (Full Year 2026 Guidance) | $156–157M | ~$156M |
The guidance raise is real but narrow. Management moved the full-year EBITDA range from approximately $156 million to $156–157 million, a modest improvement rather than a major reset. The filing explicitly links the increase to year-to-date execution, the remaining-year outlook and the expected USPP closing.
The bigger strategic change remains USPP, not this quarter’s earnings beat. The acquisition would add roughly 280 million annual gallons, about 400 dealer locations and approximately $30 million of annualized Adjusted EBITDA, but those benefits remain forward-looking because closing is still expected in the fourth quarter. 〔0〕 The transaction was already public, so this filing mainly confirms execution and incorporates some expected closing benefit into guidance rather than introducing a new strategic surprise.
The main offset is quality of growth. Wholesale gallons fell year over year, operating cash flow declined because of working-capital investment, and the filing says comparable wholesale sites contributed less operating income. The company is therefore advancing its scale-building story, but current-quarter growth still depends meaningfully on margin conditions and conversions rather than broad demand expansion.
Bottom line: This is a modestly better-than-expected operating update, led by higher margins, cash generation and a small guidance lift. It strengthens the execution story, but the more consequential test remains closing and integrating USPP, which was already known to the market.
