Debt exchanged — $92.03M old notes for $85M new notes, $20M cash and 13.47M shares
3D Systems’ debt exchange lowers interest and removes secured debt, but costs $20 million upfront and creates immediate dilution.
3D Systems is emerging from a multi-year additive-manufacturing downturn with improving operating momentum: Q3 revenue rose 9% year over year, adjusted EBITDA turned positive, and growth was concentrated in healthcare, aerospace and defense, and data-center infrastructure. The immediate financial constraint was its debt structure, including roughly $92 million of secured convertible notes due 2030 and a smaller near-term maturity.
The exchange materially eases the secured-debt overhang, but it is not a free refinancing. 3D Systems will swap all $92.03 million of 5.875% secured notes for $85 million of lower-coupon 3.30% unsecured notes, $20 million in cash, and 13.47 million shares. The lower principal and coupon reduce annual cash interest by roughly $2.6 million, while the maturity moves to April 2031.

The main cost is dilution and a weaker creditor position for lenders, not new operating capital. The 13.47 million shares are issued immediately, and the new notes could ultimately create as many as 32.20 million additional shares. The company receives no cash proceeds, so this transaction funds no growth investment; it mainly trades secured debt for cheaper unsecured debt and more equity exposure. 〔0〕
The balance-sheet improvement is meaningful, but completion is still conditional. If all notes are delivered, the secured notes, guarantees, and collateral liens are expected to disappear; however, the exchange can be delayed or terminated if the required delivery and consent thresholds are not met. 〔1〕
Bottom line: This is a modestly constructive capital-structure repair for a company whose operating recovery is beginning to show, but the relief is purchased with immediate dilution and $20 million of cash. It advances the balance-sheet story without changing the underlying operating one yet.
Exchange closing, expected November 12
