OLIN Corp (OLN) · Nov 4, 2026 · Material agreement
Facility extended — Termination date extended to July 31, 2028
Olin extended its receivables facility to July 2028 and carved out the Huntsman merger from change-of-control rules. The financing supports execution, but does not change the deal’s economics.
Olin is in the execution phase of its planned all-stock merger with Huntsman, not launching a new standalone strategy. The merger was approved by both shareholder groups in August, the U.S. antitrust waiting period had expired, and the transaction was expected to close in the first quarter of 2027; Olin also amended its senior credit facility on October 27 to prepare for a $2.5 billion post-closing facility.
This amendment keeps a working-capital funding tool alive through the merger and beyond. Olin extended the receivables purchase agreement’s scheduled termination date to July 31, 2028. 〔0〕 It also explicitly states that the OlinHuntsman merger will not trigger a change-of-control event under the facility. 〔1〕 That removes a potential technical financing complication as the companies combine.
The signal is useful but limited because it is largely merger plumbing, not incremental capital. The filing does not disclose a larger commitment, cheaper pricing, new proceeds, or a change in leverage; it mainly extends the existing arrangement and updates it for Olin’s expected name change to OlinHuntsman Corporation. 〔2〕 Given that the merger and related financing preparations were already public, the direction was expected; the new information is the completed documentation and 2028 runway.
Bottom line: The amendment modestly advances merger execution and preserves receivables-backed liquidity, but it does not materially rewrite Olin’s business or financing story. User-visible impact is mainly confirmation that the existing facility is being carried into the combined company.
OlinHuntsman merger closing, expected Q1 2027
