1-for-4 reverse split — 4,468,051 shares reduced to approximately 1,117,013
Bluejay’s reverse stock split is now effective, reducing shares outstanding but offering no new FDA, clinical, or financing milestone.
Bluejay remains a pre-revenue, pre-FDA-clearance diagnostics developer trying to fund clinical work and move its Symphony sepsis-testing platform toward a 510(k) submission targeted for 2027. Its latest annual filing also described a need for substantial additional capital, making this a capital-markets action rather than a product milestone.
The reverse split is now operational, not transformative. The company implemented the 1-for-4 split effective November 3, 2026, reducing outstanding shares from 4,468,051 to approximately 1,117,013; warrants, equity awards, and reserved plan shares were adjusted proportionately.
| November 3, 2026 | Before split | |
|---|---|---|
| Common shares outstanding (Item 5.03) | 1,117,013 | 4,468,051 |
| Prefunded-warrant shares (Item 5.03) | 55,646 | 222,581 |
| Reverse-split ratio (Item 5.03) | 1-for-4 | — |
This was already known before the filing. The board announced the 1-for-4 ratio on October 30, the effective date was set for November 3, and stockholders had already authorized the board to choose a split ratio at the June 9 annual meeting. The November 4 filing therefore confirms a scheduled corporate action rather than introducing a surprise. 〔0〕
The filing contains a minor internal inconsistency, but not a different economic outcome. The press-release exhibit says “every three” shares would be combined and lists 55,645 warrant shares, while the operative Item 5.03 description, the announced ratio, and the effective action state 1-for-4 and 55,646. That appears to be a drafting error in the exhibit, not a change to the completed split. 〔1〕
Bottom line: This is capital-structure housekeeping for a company still waiting on clinical and FDA progress. It changes the share count, not the underlying Symphony business story, so the event is routine and already anticipated.
