1-for-58 reverse split — 31.95M shares reduced to approximately 550,858; 500M authorized shares unchanged
22nd Century’s 1-for-58 reverse stock split preserves the Nasdaq listing structure but does not improve VLN sales, liquidity, or dilution risk.
The starting point: 22nd Century is trying to commercialize its FDA-authorized VLN reduced-nicotine cigarettes while still operating with a very thin financial cushion. Its latest reported quarter showed $6.1 million of cash, $7.1 million of operating cash use for the first half, and “substantial doubt” about continuing as a going concern. The company had also already carried out three reverse splits since June 2025 to regain Nasdaq compliance, so another split is consistent with an ongoing listing-preservation cycle rather than a new operating milestone.
This filing changes the share count, not the business: the company will execute a 1-for-58 reverse split effective November 5, 2026, taking outstanding shares from 31,949,758 to approximately 550,858. 〔0〕 〔1〕 That does not create cash, increase demand for VLN, improve margins, or move the company closer to profitability; it only mechanically raises the per-share trading price and resets the capital structure for listing purposes.
The more important detail is what does not shrink: authorized common shares remain at 500 million while the post-split outstanding count falls to roughly 551,000. 〔2〕 That leaves substantial theoretical room for future equity issuance relative to the tiny post-split base—an important overhang for a company that has already identified additional financing as necessary to fund operations. This is not a new financing, but it preserves the capacity for one.
Bottom line: This is a listing-maintenance action, not progress on the VLN commercialization story. Because repeated reverse splits and ongoing funding risk were already part of the backdrop, the filing is only modestly negative: it keeps the structure intact but reinforces that the company is still solving a capital-and-execution problem rather than demonstrating a business breakthrough.
