$4.7M ATM raise — 15.8M shares sold; 19.2M shares outstanding
22nd Century’s share issuance raises roughly $4.7 million through its ATM, providing funding for VLN expansion while sharply increasing dilution risk.
22nd Century is trying to commercialize its FDA-authorized reduced-nicotine VLN and Pinnacle cigarette products by expanding retail distribution, but it remains cash-burning: operating cash flow was negative by $7.1 million in the first half of 2026, with an accumulated deficit of $405.5 million.
The filing materially improves near-term funding, but the price is exceptionally heavy dilution. The company filed a prospectus supplement authorizing up to $18.8 million of additional ATM sales, then disclosed that it sold 15,785,757 shares for approximately $4.7 million during October. The company had 19,202,198 shares outstanding as of October 23, 2026. 〔0〕
This funds the commercialization story rather than advancing it operationally. The cash can support distribution, marketing, manufacturing and general corporate needs, but the filing supplies no evidence of incremental sales traction, margin improvement or a reduced cash-burn rate. Because the business was already expected to need capital while scaling VLN, the financing direction is partly known; the scale of the equity issuance is the new information.
The remaining capital option keeps dilution pressure alive. The ATM can provide more funding, but further sales would increase the share count again. This makes the raise helpful for runway while weakening the per-share economics of any future operating improvement.
Bottom line: This is a liquidity-positive but shareholder-dilutive financing event. It gives 22nd Century more time to commercialize VLN, but it does not yet validate the underlying growth plan and makes the capital structure substantially more diluted.
