Miss — Consolidated adjusted EBITDA $602.6M vs ~$663M consensus
Liberty Global’s Q3 earnings missed on revenue and EBITDA, even as Ziggo spin-off milestones advanced and VMO2 unveiled major cost cuts.
Liberty Global is in the middle of reshaping itself around two themes: creating a separately listed Benelux telecom platform through the Ziggo Group spin-off, and improving cash generation from its pressured UK joint venture. The VodafoneZiggo buyout and Ziggo listing plan were already public before this release, while the prior quarter had pointed to improving VodafoneZiggo trading and reaffirmed VMO2’s full-year targets.
The quarter missed the operating bar, despite reported growth. Consolidated revenue came in at $1.92 billion versus roughly $1.94 billion of published consensus, while consolidated adjusted EBITDA was $602.6 million versus about $663 million expected. The year-over-year growth is distorted by the VodafoneZiggo acquisition; on the underlying business, Ziggo Group adjusted EBITDA fell 6.8% rebased, while Wyre and Virgin Media Ireland declined 12.2% and 30.8%, respectively (Financial Highlights). Consensus had already expected pressure in those businesses, but the shortfall was still broad rather than isolated.
| Metric | Q3 2026 | Q3 2025 | Consensus |
|---|---|---|---|
| Consolidated revenue (Financial Highlights) | $1,920.6M (+59.1%) | $1,207.1M | $1,934M |
| Consolidated adjusted EBITDA (Financial Highlights) | $602.6M (+79.1%) | $336.5M | $663M |
| Adjusted FCF (Cash Flows) | $81.7M | $(84.5M) | |
| Net earnings (Income Statement) | $547.7M | $(83.4M) |
Ziggo advanced strategically, but the value-creation case is still prospective. Liberty completed the VodafoneZiggo integration milestone, named the management team, agreed to sell VodafoneZiggo’s mobile towers for €669 million, and reiterated a Q2 2027 spin-off. The tower sale and broader €1.2–€1.4 billion asset-disposal target should support deleveraging, but the larger synergy case remains an estimate rather than realized performance. 〔0〕 (Ziggo Group spin-off) 〔1〕 (Ziggo Group spin-off)
VMO2’s response is operationally sensible but signals that the UK business still needs repair. The proposed £800 million of run-rate cost reductions by 2029, including a 30% reduction in people cost, could improve cash generation and leverage, but the plan also halts VMO2’s own fiber upgrade program and comes alongside continued fixed and mobile customer losses. VMO2 remained on track for full-year guidance, so this is not a guidance cut; it is a more defensive strategic reset. 〔2〕 (Virgin Media O2 strategic plan)
Cash flow improved in the quarter, but the nine-month picture remains constrained. Group adjusted free cash flow turned positive at $81.7 million, helped by higher operating cash flow, yet nine-month adjusted FCF remained negative at $388.0 million. Corporate liquidity is substantial at roughly $2.0 billion, but the company is simultaneously funding the spin-off, pursuing buybacks and relying on asset sales and operating improvements to reduce leverage. Bottom line: The filing moves the Ziggo separation forward, but the core quarter was weaker than expected and VMO2 is responding with a major cost-reset plan. It strengthens the restructuring roadmap without yet proving that operating momentum has turned decisively higher.
