€669M tower sale cleared — EU clearance; closing still expected by year-end
Liberty Global’s tower sale wins EU clearance, removing a deal condition and advancing debt reduction ahead of the planned Ziggo Group spin-off.
Liberty Global is consolidating VodafoneZiggo and Telenet into Ziggo Group, with an intended Amsterdam listing in mid-2027; the current plan relies partly on €1.2–1.4 billion of non-core asset sales to reduce debt before the spin-off.
The tower disposal cleared another condition, but did not create a new transaction. EU approval removes a regulatory hurdle for the previously announced sale of VodafoneZiggo’s passive towers, with closing still expected by year-end and consideration of €669 million. 〔0〕 The transaction was already public, so this is execution progress rather than a fresh strategic surprise.
| Item | Filing detail |
|---|---|
| Tower-sale consideration | €669 million (Press release) |
| Broader non-core disposal target | €1.2–1.4 billion (Press release) |
| Expected closing | By year-end (Press release) |
| Planned Ziggo Group listing | Amsterdam, mid-2027 (Press release) |
The proceeds are earmarked for debt reduction, not new growth spending. Liberty Global says the tower-sale cash will support VodafoneZiggo deleveraging. 〔1〕 That helps the balance-sheet preparation for the spin-off, but the filing does not quantify the resulting leverage improvement.
The operating commentary is encouraging but not yet a financial result. Management says VodafoneZiggo delivered its best broadband net-adds performance since 2019 and overall revenue growth in the third quarter. 〔2〕 Because the release provides no detailed revenue, EBITDA, cash-flow or consensus figures, it cannot support a genuine earnings beat or miss; the full test comes with Liberty Global’s November 3 results.
Bottom line: This is a routine but useful de-risking step for the Ziggo Group plan: the €669 million sale is closer to closing and should help reduce VodafoneZiggo debt. It advances the existing strategy without materially changing it versus what was already known.
