Meeting adjourned — No quorum; reconvenes November 13, 2026
Azio AI’s annual meeting was adjourned without votes after a quorum failure, delaying governance and capital-structure decisions until November 13.
Azio is in the early, execution-heavy phase of a pivot toward AI infrastructure, building data-center, GPU, and related compute capacity rather than operating as a mature AI platform. The company’s 2026 proxy also puts several governance and capital-structure decisions before shareholders, including potential approval of a preferred-stock conversion that could create up to 97.3 million common shares.
The immediate problem is delay, not defeat. The annual meeting ended without any proposal being voted on because the company lacked a quorum, and it has been moved to November 13. 〔0〕 That leaves the underlying proposals alive, but postpones the shareholder mandate the company needs to advance them.
The filing adds a small but real execution cost. Azio has hired InvestorCom to help gather enough votes and estimates approximately $12,500 in proxy-solicitation fees, plus expenses. 〔1〕 For a company still funding an infrastructure buildout, this is immaterial financially but signals that shareholder coordination is proving harder than planned.
Bottom line: This is a modest governance setback for an already complicated AI-infrastructure transition: nothing was rejected, but the company could not even reach the voting threshold on schedule and now has to spend more time and money getting there.
