AZIO AI adds $2.3M credit facility as liquidity remains tight

$2.3M credit facility — $2.3M commitment; $2.225M already advanced at 8.5%

AZIO AI’s new credit facility provides near-term working capital, but the insider-backed debt leaves a one-year repayment burden.

AZIO is in the early stages of a post-merger pivot from electric vehicles and other legacy operations toward AI data-center deployment, enterprise GPU compute, digital power infrastructure, and related infrastructure services. The company has also disclosed significant losses, negative operating cash flow, and dependence on debt and equity financing to fund operations.

The filing adds liquidity, not operating proof. AZIO secured an unsecured revolving facility with a maximum commitment of $2.3 million, and $2.225 million had already been advanced before the agreement was signed. 〔0〕 This gives the AI-infrastructure transition working capital, but it does not announce new customers, deployed capacity, revenue, or project execution.

Facility detailFiling figure
Maximum commitment$2.3 million (Credit Agreement)
Prior advances folded into facility$2.225 million (Credit Agreement)
Interest rate8.5% annually (Promissory Note)
Principal and interest dueFirst business day after the one-year anniversary (Credit Agreement)
Payment before maturityNone required (Credit Agreement)

The structure is helpful now but creates a near-term refinancing obligation. No principal or interest payments are due before maturity, which preserves cash while the company builds its AI platform. 〔1〕 But the full balance plus accrued interest comes due after roughly one year, so this is a bridge for the transition rather than durable funding.

The insider connection makes this more supportive than arm’s-length validation. The lender is controlled by Chi Wei David Shiue, a former company chief business development officer and beneficial owner of more than 5% of AZIO’s common stock. 〔2〕 That relationship may have enabled the funding, but it also means the facility should not be read as independent lender confirmation of the business case.

Bottom line: The facility keeps AZIO’s AI pivot financed in the near term, but it mainly addresses liquidity rather than demonstrating that the new business is scaling. The one-year maturity and insider funding leave the company needing a clearer path to cash generation or replacement financing.
