Anavex board resignations expose strategy split after biotech reset

3 director resignations — Chair plus two directors resigned, citing strategy misalignment

Anavex’s board resignations reveal an internal strategy split just as the biotech advances blarcamesine toward key FDA milestones.

Anavex is a clinical-stage CNS biotech trying to move its lead drug, blarcamesine, through U.S. regulatory and clinical development in early Alzheimer’s disease, Rett syndrome and Fragile X syndrome. The company had just presented a post-CEO-transition strategy centered on those three programs, with the Rett program entering Phase 3 start-up and an FDA meeting on pediatric enrollment expected in November 2026.

This is a genuine governance break, not a routine board refresh. Three directors resigned effective October 28, including Jiong Ma, the board chair, and two directors who had joined the slate elected at the September 24 annual meeting. The filing states that “each of Dr. Jiong Ma, Mr. Gautam Patel and Dr. Adrian Senderowicz resigned from the Board of Directors.” 〔0〕

The reason points directly at disagreement over execution, not personal circumstances. Patel and Senderowicz each said their views on how to execute the business plan did not sufficiently align with the board and management. 〔1〕 That is especially damaging because both had been recruited in August as life-sciences, capital-markets and drug-development additions intended to strengthen the board during the company’s strategic reset.

The timing makes the signal worse. Anavex had recently defended its refreshed board as a stabilizing force after terminating its former CEO and appointing an interim CEO; stockholders then elected the full six-director slate in September. Resignations only weeks later imply that the board’s apparent alignment was less durable than presented.

The pipeline itself is not changed by this filing, but execution risk is higher. The company still has open INDs and planned development work across Alzheimer’s, Rett syndrome and Fragile X syndrome, yet the departure of the chair and two strategically relevant directors creates uncertainty over oversight, capital allocation and the consistency of the regulatory plan.

Bottom line: This weakens Anavex’s current story because the board brought in to guide its clinical and regulatory reset has fractured before that plan has produced a major milestone. It does not invalidate blarcamesine’s programs, but it raises a material governance and execution question at an important stage.
