Beat — Non-GAAP diluted EPS $0.40 vs ~$0.31 consensus
Upwork earnings beat Q3 expectations on margins and cost control, but marketplace demand weakened again as GSV and active clients declined sharply.
Upwork is trying to reposition from a pressured freelance marketplace into a broader AI-enabled work platform, with higher-value Business Plus demand, the Lifted enterprise offering, and AI-agent access through its MCP server as the main growth pillars. The quarter shows that the profitability transition is working faster than the demand recovery: the business beat the published Q3 revenue and earnings expectations, but the underlying marketplace contracted materially. The prior Q3 revenue guide was $176 million to $184 million, while the published consensus was about $180.2 million; the company delivered $185.6 million.
| Metric | Q3 2026 | Q3 2025 | Consensus / guide |
|---|---|---|---|
| GSV (Financial Highlights) | $914.1M (-10.1%) | $1,016.7M | |
| Active clients (Operating Metrics) | 717K (-10%) | 794K | |
| Revenue (Financial Highlights) | $185.6M (-8.0%) | $201.7M | $180.2M consensus |
| Non-GAAP diluted EPS (Non-GAAP Measures) | $0.40 | $0.36 | ~$0.31 consensus |
| Adjusted EBITDA (Financial Highlights) | $63.8M (+7%) | $59.6M | $50M-$54M guide |
| Adjusted EBITDA margin (Financial Highlights) | 34% (+481 bps) | 30% | |
| Free cash flow (Cash Flow statement) | $53.9M (-22%) | $69.4M |
The earnings beat is real, but it is primarily a margin story. Revenue of $185.6 million cleared both the company’s prior range and the roughly $180.2 million consensus, while non-GAAP diluted EPS reached $0.40 versus approximately $0.31 expected. Adjusted EBITDA also exceeded the prior $50 million-$54 million guide at $63.8 million, helped by operating expenses falling 15% year over year to $106.7 million.
The core marketplace is still shrinking faster than the headline beat suggests. GSV fell 10.1%, marketplace revenue declined 9%, active clients dropped 10% to 717,000, and enterprise revenue also declined 3%. That means Upwork is extracting more profit from a smaller demand base, not yet demonstrating that AI, Business Plus, or Lifted have reversed the marketplace slowdown. 〔0〕
Cost discipline is offsetting weaker demand, but cash conversion deteriorated. Net income rose 8% and adjusted EBITDA margin expanded to 34%, but operating cash flow fell 12% and free cash flow dropped 22%. The company also spent $360.998 million repaying convertible notes during the quarter, leaving a cleaner balance sheet but sharply reducing cash and marketable securities versus year-end.
The AI and enterprise initiatives are promising but still too small to change the financial profile. Upwork said MCP usage grew 20-fold from its August launch and generated more than $3 million in estimated annualized Connects revenue, while Lifted acquired WorkMotion to reduce reliance on third-party EOR providers. Those are strategically relevant moves, but the disclosed MCP revenue is immaterial against a $185.6 million quarterly revenue base, and the filing provides no evidence yet that WorkMotion has materially accelerated enterprise growth.
The CFO transition looks orderly rather than disruptive. Erica Gessert will leave the CFO role on January 1, 2027 but remain as an adviser, with Chief Business Officer Peter Sanborn taking over. Because the successor is internal and the transition is planned, this is not a new operating setback; it does, however, add execution risk while Upwork is trying to prove that its AI and Lifted investments can restart growth. 〔1〕
Bottom line: Upwork beat the near-term earnings bar through aggressive cost control and stronger margins, but the underlying marketplace remains under pressure. The result modestly advances the profitability story without yet repairing the growth story.
