The market expected another soft-demand quarter, but stronger adjusted earnings. Published expectations were roughly $194 million of revenue and $0.35 of non-GAAP diluted EPS; Upwork had also guided to $187–$193 million of revenue, $56–$59 million of adjusted EBITDA, and $0.35–$0.37 of non-GAAP diluted EPS.

(Financial Highlights; Key Financial and Operational Metrics; Non-GAAP Financial Measures)
The core demand picture was worse than the profit headline suggests. GSV fell 3.6%, active clients declined 4%, and total revenue slipped 2% year over year; marketplace revenue declined 2% while enterprise revenue grew only 2% (Financial Highlights; Income Statement). The new AI connectors and MCP tools support the strategic repositioning, but this filing does not yet show that those products are translating into aggregate marketplace growth.
Adjusted profitability clearly beat, but the quality of the beat is partly restructuring-driven. Adjusted EBITDA reached $64.1 million versus the $56–$59 million guide, while adjusted EBITDA margin expanded to 33% (Financial Highlights). However, Upwork excluded $13.8 million of restructuring costs from its non-GAAP measures, including $12.8 million classified as other costs; those charges are real cash expenses even if management treats them as unusual (Non-GAAP Financial Measures). GAAP net income fell 22% to $25.4 million, and GAAP operating margin also weakened as gross margin declined to 76% from 78% (Income Statement; Financial Highlights).
Cash generation and customer breadth weaken the otherwise strong margin result. Operating cash flow fell 35% to $46.9 million and free cash flow dropped 45% to $35.9 million, despite the higher adjusted EBITDA (Cash Flow statement; Free Cash Flow reconciliation). The company also repurchased $109.7 million of stock during the first six months, leaving $254.3 million authorized (Share Repurchase Program disclosure). Net read: profitability was better than expected, but the underlying marketplace is still contracting, so the filing lands as mixed rather than a clean positive surprise.
