Indivior merger closes, creating Supernus with $1B dividend

Merger completed — 1.5401 Indivior shares per Supernus share; $1.0B special dividend

Indivior’s merger with Supernus is complete, creating a larger CNS drugmaker while funding a $1 billion special dividend with new debt.

Indivior was coming from a concentrated opioid-use-disorder business led by SUBLOCADE, while Supernus brought a broader CNS commercial portfolio and pipeline. The announced combination was designed to create an approximately $2.2 billion-revenue, 11-product CNS company with at least $125 million of expected annual cost synergies.

The transaction is now legally complete, but the closing itself is not a surprise. The filing confirms the merger, the previously announced 1.5401-share exchange ratio, the 56.5%/43.5% ownership split, and Jack Khattar’s leadership of the combined company. 〔0〕 Because the closing date, terms, shareholder approvals, and new ticker structure were already disclosed, this is confirmation rather than a fresh strategic upside surprise.

The main new operating reality is scale—but also leverage and execution risk. Indivior shareholders receive the previously announced $1.0 billion special dividend, funded partly with a $650 million term loan and partly with cash. That leaves the combined company with a broader product base and promised synergies, but the benefits now depend on integration and delivering those savings while carrying the new debt. The financing and dividend were already part of the transaction case, so they complicate the story more than they change it.

Management and governance are settled, shifting the story from deal approval to execution. Rockville becomes the global headquarters, Khattar becomes CEO, Tony Kingsley becomes board chair, and the eight-person board is evenly split between the legacy companies. 〔1〕

Bottom line: This is a meaningful business transition, but not a meaningful surprise: the planned CNS combination has closed, with diversification and synergy potential balanced by integration work and merger-funded debt. The next test is execution, not deal completion.
