Extension to Aug. 6, 2027 — Deadline moves from Nov. 6, 2026 to Aug. 6, 2027
KFII’s extension filing keeps the proposed Pearl business combination alive, but the shorter runway and non-redemption share incentives add dilution.
K&F Growth Acquisition Corp. II is a SPAC trying to take Pearl, David’s Bridal’s wedding-planning, media and commerce division, public as a standalone digital wedding platform. The filing keeps that transaction alive, but does not advance it to a definitive deal. The proposed completion deadline is being extended from November 6, 2026 to August 6, 2027, giving the parties roughly nine additional months to complete a business combination.
The extra time is shorter than shareholders were previously asked to approve. The extension proposal had previously targeted February 7, 2028; the supplement now cuts that end date back to August 6, 2027. That is a less generous runway, but it also limits how long the SPAC can remain outstanding without closing a transaction. 〔0〕
Non-redemption agreements improve the odds of preserving trust cash, at the cost of future dilution. Investors agreeing not to redeem can receive up to one surviving-company share for every six public shares they retain if the combination closes by May 6, 2027, plus an additional share for every 30 shares if closing occurs later. The filing says these agreements are not expected to improve approval odds, but are expected to leave more money in the trust account after the meeting. 〔1〕
The key uncertainty is still execution, not the extension mechanics. The filing does not disclose the aggregate number of shares covered by the non-redemption agreements in the supplied exhibit, so the eventual dilution and trust-account benefit cannot be quantified here. The extraordinary meeting has also been moved to November 4, 2026, with redemptions due by November 2.
Bottom line: This is a mixed update: KFII gains time and potentially preserves more cash for the proposed Pearl transaction, but the shorter extension and share incentives show that keeping the SPAC funded requires concessions. The filing supports the deal process; it does not materially de-risk closing it.
