K&f Growth Acquisition Corp. II (KFII) · Oct 22, 2026 · Acquisition
$350M proposed combination — $350M pro forma enterprise value; non-binding LOI
K&F’s acquisition LOI would take David’s Bridal’s Pearl AI wedding platform public, but the $350 million deal still needs a definitive agreement.
Pearl is the digital growth engine David’s Bridal is now trying to separate from its retail business. The platform has been expanding from wedding planning into vendor lead generation and AI-powered personalization; Pearl Connect was publicly launched in September 2026 as a vendor marketplace tied to couples’ planning data. This filing is the first major step to give that effort its own public-company vehicle rather than leaving it inside David’s Bridal.
| Filing term | Detail |
|---|---|
| Proposed Pearl enterprise value | Approximately $350 million (Transaction terms) |
| Implied valuation | Approximately 9.3x projected 2027 EBITDA (Transaction terms) |
| Projected 2026 EBITDA margin | Greater than 30% (Pearl projections) |
| Projected 2027 revenue | More than $85 million; growth above 100% (Pearl projections) |
| Proposed PIPE | $75 million, subject to upsizing (PIPE financing) |
| Proposed CION anchor investment | $25 million, subject to definitive documentation (PIPE financing) |
The strategic logic is credible, but the numbers are still management projections. Pearl would retain David’s Bridal’s brand and intellectual property while operating as a standalone, debt-free AI, media, commerce and vendor marketplace business. 〔0〕 The reported scale is substantial — 60 million annual e-commerce visitors, 30 million monthly digital-content viewers and 8 million social followers — but those reach figures do not yet establish how much revenue converts into vendor subscriptions, advertising or commerce. 〔1〕
For K&F, securing a named target is meaningful progress against its deadline, but this is not yet a merger. The LOI is non-binding, the valuation and financing remain subject to definitive documents, and the transaction still requires diligence, shareholder approval, regulatory clearance and enough capital after redemptions. 〔2〕 K&F also still needs shareholder approval to extend its business-combination deadline from November 6, 2026 to February 7, 2028; that vote is scheduled for November 3, 2026.
Bottom line: This advances both stories: David’s Bridal gets a potential public home for its faster-growing digital platform, while K&F gets a concrete acquisition candidate. The signal is positive because a target and financing framework now exist, but the value remains provisional until a binding agreement and audited disclosure arrive.
