Green Plains tax-credit deal locks in $140M cash, but at a discount

$325M credit sale — $250M minimum; up to $325M total; $140M Q4 cash

Green Plains’ tax-credit agreement monetizes up to $325 million of 2026 45Z credits, including $140 million of fourth-quarter cash, with proceeds discounted.

Green Plains is midway through a shift from conventional ethanol producer toward a low-carbon biorefinery platform, using carbon-intensity reductions and carbon capture to create additional revenue from 45Z tax credits. All eight operating facilities were expected to qualify for the credit in 2026, and 45Z already contributed materially to first-half results: second-quarter adjusted EBITDA included $58.7 million of 45Z value, while total debt stood at $483.7 million at June 30, 2026.

The agreement converts a strategic asset into visible cash. Green Plains committed to sell at least $250 million of 2026-generated credits, with buyers able to take the total to $325 million and potentially another $30 million.

Credit monetization2026 filing figureTiming / comparison

Maximum committed credits (Agreement)$325MSubject to generation and availability
Optional additional credits (Press Release)$30MSubject to generation and availability

The most tangible benefit is liquidity, not headline revenue. The company expects $140 million in fourth-quarter cash for credits generated through June 30, with credits from the second half of 2026 monetized during the first half of 2027. That gives management a clearer path to reduce debt or fund high-return projects, matching the balance-sheet priorities it laid out after the second quarter.

The $325 million headline overstates the immediate cash impact. The purchase price is confidential and includes a market-based discount, so the face value of credits is not the amount Green Plains will collect. The deal also depends on actual production, regulatory compliance and credit availability; tax-law changes can require the company to return the affected purchase price with interest.

This is incremental validation of the low-carbon strategy, but not a completely new story. Green Plains had already monetized 45Z credits and expected roughly $200 million to $225 million of 2026 EBITDA from credit generation and sales, so the direction was established before this filing. The new information is the larger, committed buyer structure and the timing of the first $140 million payment, which reduces uncertainty around converting credits into cash.

Bottom line: This materially strengthens Green Plains’ liquidity visibility and gives its low-carbon platform a clearer cash value. It is a meaningful execution step, but the benefit arrives in stages and below the $325 million headline because the credits are sold at a discount.

The next nameable checkpoint is Green Plains’ third-quarter 2026 earnings report scheduled for November 5, 2026.
