Churchill Capital Corp XI (CCXI) · Oct 30, 2026 · Acquisition
$465M capital raise — $465M gross proceeds, including $164M trust cash and $201M PIPE
Churchill XI’s acquisition of Agility stays on track for a November 4 close, but redemptions reduce expected gross funding to $465 million.
Agility is moving from humanoid-robot pilots and early commercial deployments toward scaled Digit 5 production, backed by more than 30 prospective customers and previously disclosed multi-year order potential. The financing is meant to fund that transition, but the key change here is the amount of cash surviving the SPAC redemption process.
The transaction remains funded, but less generously than first advertised. Expected gross proceeds are now approximately $465 million before expenses, versus more than $620 million previously announced for the deal—an implied reduction of at least $155 million, driven mainly by lower trust-account cash after redemptions.
| Funding item | October 30, 2026 |
|---|---|
| Gross capital raise (Transaction financing) | $465M |
| Churchill XI trust account (Transaction financing) | $164M |
| Common-stock PIPE (Transaction financing) | $201M |
| Equity funding already received (Transaction financing) | $100M |
| Committed multi-year Digit 5 orders (Business update) | >$300M |
The PIPE and closing timetable provide the important support. The $201 million PIPE remains committed at $10 per share, and $100 million of equity funding has already been received, so the financing has not unraveled despite the redemption pressure. The vote is scheduled for November 2, with closing expected November 4 and Nasdaq trading under AGLT expected November 5. 〔0〕
The business case is still mostly forward-looking. Agility points to more than $300 million of committed multi-year Digit 5 orders, additional GXO facilities and an AGCO pilot, but the filing explicitly says that order value will be realized over time and does not represent current-period revenue. That leaves the financing as a meaningful runway event, not proof that scaled commercialization has already arrived. 〔1〕
Bottom line: The merger is still on course and retains substantial financing support, but redemptions reduce the cash cushion versus the original transaction plan. It advances Agility’s scaling story, while leaving execution and conversion of future orders as the central test.
Shareholder vote Nov. 2; closing expected Nov. 4
