Vernal machine shop — 6,300-square-foot facility; purchase price and financial contribution undisclosed
Star Equity’s acquisition gives Alliance Drilling Tools in-house machining, repair, and rebuild capacity in Vernal—strategically useful, but financially unquantified.
Star is still building Energy Services around Alliance Drilling Tools, a downhole-tool rental, sales, and repair platform serving oil and gas, geothermal, mining, and water-well markets. Energy Services generated $7.4 million of revenue and $2.0 million of EBITDA in the first half of 2026, so this is a meaningful operating platform but not yet the company’s dominant business.
The acquisition strengthens ADT’s existing Vernal operation rather than opening a new market. The shop is adjacent to ADT’s current location and adds machining, repair, and rebuild work to the tool-rental footprint. The transaction closed on October 23, 2026. 〔0〕
The strategic logic is credible, but the immediate financial impact is impossible to size. ADT says it has relied on this shop for more than a decade, so the acquisition internalizes an established supplier relationship, reduces dependence on outside machining, and gives the company more control over turnaround times. 〔1〕 The added 6,300-square-foot facility also gives ADT a broader “one-stop shop” offering and a clearer path to pursue Uinta Basin drilling plus regional mining and geothermal work. 〔2〕
This is an incremental capability acquisition, not a step-change transaction. The filing provides no purchase price, revenue, earnings contribution, financing details, or integration targets, so the market gets a better operating setup but no new quantitative basis for raising its earnings outlook. The event advances the Energy Services buildout, while its value remains dependent on converting added capacity into more customer work.
Bottom line: The deal modestly improves ADT’s competitive position and service control in the Rockies, but it is strategically meaningful more than financially measurable today. It moves the story forward without changing its scale yet.
