Voting terms amended — Majority ownership no longer automatically counts as a change of control without MGM Board approval
People Inc.’s MGM voting agreement amendment does not revive the withdrawn bid, but preserves strategic flexibility around future ownership.
People Incorporated is now a simplified company centered on its People Inc. publishing business and a large minority stake in MGM Resorts; it withdrew its proposal to buy MGM’s public shares on September 23, 2026, while retaining roughly 27% of MGM. This amendment keeps the MGM option alive without restarting the bid. The key change is that People and Barry Diller can acquire a majority of MGM’s voting power without that alone triggering a contractual “change of control,” unless MGM’s Board specifically approves it as one. 〔0〕
The flexibility is real but bounded. The parties still agreed not to acquire above 29.9% except in limited circumstances, while voting power above 25.73% remains subject to proportional voting rules on ordinary matters. 〔1〕 That means this is not a fresh takeover commitment or an immediate ownership increase; it is mainly a legal clarification that preserves room for future strategic action after the September bid withdrawal.
The signal is therefore two-sided rather than transformational. Relative to the standing story, People gains more contractual optionality around accumulating influence, but the filing supplies no new offer, financing, price, or timetable. The market already knew People intended to remain a significant MGM holder, so the amendment adds flexibility more than it changes the business plan.
Bottom line: This keeps People’s MGM strategy alive in a narrower form, but it does not revive the abandoned acquisition. It matters as optionality, not as a transaction announcement.
