$101/share proposal — $101 per share in cash; non-binding and unsolicited
LCI confirmed a $101-per-share acquisition proposal from Monomoy, but its board still recommends the Patrick merger while it evaluates the bid.
LCI is already committed to an all-stock combination with Patrick, turning Lippert into a larger component platform across outdoor recreation, housing and transportation; the transaction was expected to close in the first half of 2027, with LCI holders receiving 1.244 Patrick shares per LCI share.
A new bidder has reopened the strategic decision. Monomoy’s $101-per-share cash proposal introduces a concrete alternative to the signed Patrick merger, but it is explicitly unsolicited and non-binding.
This is not yet a superior-offer announcement. LCI’s existing merger agreement with Patrick remains in place, and the board continues to recommend that transaction while it consults advisers and evaluates its fiduciary duties. 〔0〕 Because the Patrick consideration is stock-based, the filing does not provide enough information to conclude that Monomoy’s $101 cash offer is economically better for shareholders.
The immediate business effect is uncertainty, not a changed operating plan. The filing does not alter LCI’s operations, financing or merger terms; it creates a potential bidding process and raises the possibility that the Patrick combination could be renegotiated, rejected or replaced. The board says it will update shareholders after its review. 〔1〕
Bottom line: This materially complicates LCI’s expected Patrick merger but does not change it yet. The key new information is the existence of a cash alternative—not a firm takeover agreement or a confirmed superior bid.
