CFO appointment — Permanent CFO effective December 1; $5.8M make-whole and inducement awards
Goodyear’s CFO appointment restores permanent finance leadership after a June departure, but the package includes $5.8 million in inducement awards.
Goodyear is executing the post-Goodyear Forward phase of its transformation, focused on portfolio simplification, margin improvement, deleveraging and operational efficiency. Its current agenda includes further manufacturing rationalization and regional restructuring, making finance leadership important to tracking costs, capital allocation and execution.
This closes a known leadership gap rather than changing the strategy. Goodyear had already disclosed in June that it was searching for a permanent successor after Christina Zamarro’s departure, with Scott Deakin serving as interim CFO. Rouquet will take over on December 1, while Deakin remains interim CFO through November 30. 〔0〕 〔1〕
| Compensation element | Amount / term |
|---|---|
| Base salary | $900,000 |
| Target annual incentive | $900,000 |
| Long-term incentive award | $3.2 million |
| Make-whole and inducement awards | $5.8 million |
| Severance multiple | 1.5x |
The main surprise is the price of restoring permanent leadership. The package carries $5.8 million in one-time make-whole and inducement awards, including a $2.5 million cash payment and $3.3 million of restricted stock units, on top of the recurring salary, bonus target and long-term award. The filing does not attach new operating targets, financial guidance or a revised transformation plan, so the business impact is primarily continuity rather than an immediate change in fundamentals.
The appointment is strategically relevant but not a clean positive surprise. Rouquet brings public-company CFO experience from Visteon and an automotive-supplier background, which fits Goodyear’s industrial and mobility businesses. 〔2〕 But the direction of travel—a permanent CFO after the June departure—was already expected; the new information is the candidate, timing and unusually visible inducement cost.
Bottom line: Goodyear removes a temporary finance-leadership overhang and adds an executive suited to its transformation work, but the filing is more about continuity than a new business catalyst—and the compensation package is notably rich.
