Wheeler Real Estate Investment Trust, Inc. (WHLR) · Oct 26, 2026 · Share issuance
1.20M common shares issued — 1,198,800 common shares issued; 1-for-6 reverse split
WHLR’s reverse split is paired with a huge preferred-to-common exchange, reshaping the capital stack without bringing in cash.
WHLR is a highly leveraged retail REIT trying to manage a distressed capital structure while operating 59 shopping-center and undeveloped properties. Its latest 10-Q showed rental revenue falling to $46.5 million in the first half of 2026 from $50.5 million a year earlier, $471.7 million of scheduled debt repayments and maturities, and $27.1 million of undeclared Series D dividends.
The biggest change is dilution, not the reverse split. WHLR agreed to issue 1,198,800 common shares in exchange for 39,300 Series B and 200 Series D preferred shares. 〔0〕 Against the 1,931,568 common shares outstanding as of August 4, that issuance is roughly 62% of the existing share count before the split.
| Item | Filing figure | Comparison / meaning | Source |
|---|---|---|---|
| Common shares issued for preferred stock | 1,198,800 | Roughly 62% of 1,931,568 shares outstanding as of August 4 | (Capital transactions) |
| Series D issued for Cedar Series C | 50,000 shares | Exchanged for 75,000 Cedar Series C shares; no cash proceeds | (Capital transactions) |
| Reverse stock split | 1-for-6 | Effective at 5:01 p.m. Eastern on October 29 | (Reverse Stock Split) |
| Convertible-note conversion rate | 9.17 to 1.53 shares per $25 principal | Mechanical adjustment after the split | (Convertible Notes) |
The preferred exchanges simplify obligations but do not fund the business. WHLR retires the acquired Cedar Series C shares after contributing them to Cedar, while issuing more Series D preferred stock. That is a noncash balance-sheet exchange: it may reduce one layer of Cedar-related preferred stock, but it adds to WHLR’s own preferred obligations in a company already carrying substantial dividend arrears. 〔1〕
The 1-for-6 split is mostly mechanical and confirms the continuing restructuring pattern. It does not change an investor’s proportional ownership, voting rights or the company’s authorized share count, while the notes and preferred conversion terms are adjusted proportionally. 〔2〕 WHLR had already completed multiple reverse splits and preferred-stock exchanges earlier in 2026, so the direction was known; the surprise is the size of this latest common issuance.
Bottom line: This filing keeps WHLR moving liabilities around rather than improving liquidity: the split is housekeeping, while the 1.2 million-share issuance materially expands the common-equity base. It is a mixed capital-structure event, with dilution offsetting the cleanup of Cedar-related preferred stock.
