Preferred exchange — 2.65M common shares for 141,952 Series B and 17,233 Series D shares
Wheeler REIT’s share issuance exchanges 2.65 million common shares for preferred stock, reducing overhang but sharply expanding the common count.
Wheeler REIT is a retail-property owner working through a stressed capital structure: its portfolio was 65 properties totaling about 7.0 million square feet at year-end 2025, while management has been using common-for-preferred exchanges to reduce expensive preferred obligations. This filing extends that existing cleanup strategy, rather than changing the operating business. Across transactions agreed from October 6 through October 9, WHLR exchanged 2,649,319 common shares for 141,952 Series B preferred shares and 17,233 Series D preferred shares. The filing says the exchanges involved “the issuance of 917,868 shares of its common stock” on October 6 and additional exchanges on October 7, October 8, and October 9. 〔0〕 (Item 3.02)
| Filing item | Amount | Comparison / implication |
|---|---|---|
| Common stock issued | 2,649,319 shares | Roughly 176% of the 1,506,932 common shares outstanding as of October 5 (Item 3.02; prior 8-K) |
| Series B preferred exchanged | 141,952 shares | Preferred securities retired (Item 3.02) |
| Series D preferred exchanged | 17,233 shares | Preferred securities retired (Item 3.02) |
| Net cash raised | None disclosed | This is an exchange, not a financing |
The immediate trade-off is clear: less preferred-stock burden, but extreme common dilution. Retiring preferred shares can reduce future dividend claims and the capital-structure overhang, consistent with WHLR’s stated strategy. But the company receives no cash, and the new common stock would more than double the pre-transaction common count if all issuances settle as expected. The filing expressly says the stock was issued “in exchange for an aggregate amount of 53,058 shares” of Series B and 10,758 shares of Series D in the first group of transactions, with further exchanges in the following days. (Item 3.02)
This is partly known, but the scale is the new information. WHLR has repeatedly disclosed similar preferred-for-common exchanges, and its latest pre-filing report showed 1,506,932 common shares and 1,703,374 Series D preferred shares outstanding as of October 5. The pattern was therefore expected; this batch matters because 2.65 million new shares is unusually large relative to the existing common base.
Bottom line: WHLR makes progress retiring preferred securities, but does so without raising cash and at a very high cost to existing common holders. It advances the capital-structure cleanup while materially worsening common-share dilution.
