Select Water Solutions, Inc. (WTTR) · Oct 21, 2026 · New debt
$900M senior notes — $900M at 7.625%, due November 2034
Select Water Solutions closes a $900 million debt financing for its Pilot Water acquisition, adding funding certainty but a high-cost 2034 liability.
Select Water Solutions is shifting toward a more infrastructure-led water business, expanding recycling, disposal and pipeline capacity in the Permian Basin while pursuing the Pilot Water acquisition to deepen its Delaware Basin footprint. Pilot is expected to add contracted, production-linked water infrastructure and make Water Infrastructure a larger share of the combined business.
The acquisition now has committed debt financing. The subsidiary issuer completed a $900 million senior-notes issuance, which provides the funding backbone for the previously announced Pilot transaction and related refinancing. The notes mature on November 1, 2034 and carry a 7.625% coupon. 〔0〕
| Debt term | Filing detail |
|---|---|
| Principal issued | $900 million |
| Coupon | 7.625% |
| Maturity | November 1, 2034 |
| Change-of-control put | 101% of principal |
| Special redemption if Pilot fails | Excess above $450 million |
The financing removes one major execution hurdle, but it is not cheap capital. A 7.625% coupon means roughly $68.6 million of annual cash interest before any refinancing or repayment, increasing the fixed cost base just as Select is taking on the integration and execution burden of a large acquisition. The notes are issued by a subsidiary and are not guaranteed by Select Water Solutions or SES Holdings, which makes the legal structure more limited than a parent-guaranteed bond.
The deal has a partial escape hatch if Pilot does not close. If the acquisition is terminated or misses its outside date of March 1, 2027, the issuer must redeem the portion of the notes above $450 million at the issue price plus accrued interest. That protects against carrying the full $900 million indefinitely if the acquisition fails, but it still leaves up to $450 million outstanding and does not eliminate the transaction risk.
Bottom line: This is meaningful financing progress for the Pilot strategy, not a new strategic surprise. It secures the cash needed to advance the acquisition, but the 7.625% debt cost and subsidiary-level structure make the expansion materially more leveraged and expensive to execute.
