Select Water Solutions, Inc. (WTTR) · Oct 15, 2026 · New debt
$900M senior notes — 7.625% coupon; upsized from $800M
Select Water’s debt offering is larger than planned, securing Pilot Water funding while adding $900 million of 7.625% senior debt.
Select is in an infrastructure-led expansion, using acquisitions to build an integrated water midstream platform across the Permian Basin and make Water Infrastructure a larger share of the business. Pilot Water adds Delaware Basin pipeline and disposal assets, long-term contracts, and expected 2027 EBITDA contribution to that strategy.
The financing is now substantially locked in, not newly conceived. Select priced $900 million of senior notes, up from the previously announced $800 million, with the proceeds earmarked partly for Pilot Water and partly to repay existing term-loan and revolver borrowings.

The upsize is a modest execution positive, but the cost of funding is meaningful. Pricing the bonds at par and selling more than initially planned suggests the debt package cleared the market as structured, but Select is committing to a high fixed coupon through 2034. This is not an unqualified improvement: the acquisition is being funded with more long-dated debt, even though the proceeds will also refinance existing bank debt.
The deal has a built-in fallback if Pilot does not close. The offering is not contingent on the acquisition, but if Pilot is not completed by March 1, 2027, Select generally must redeem the notes above $450 million at 100% of issue price plus accrued interest. That limits the risk of carrying the full financing permanently without the asset purchase, while leaving a $450 million debt piece in place.
Bottom line: This filing advances the Pilot acquisition from announced strategy to funded transaction, but it does so with expensive, sizable debt. The financing is partly expected; the important new detail is the larger-than-planned $900 million issuance and its fixed 7.625% cost.
Notes close October 21; Pilot acquisition by March 1
