$610M acquisition — $610M upfront cash; up to $1.01B including earnout
CBRE’s Onnec acquisition adds Europe and Asia Pacific data-center infrastructure capabilities, with immediate EPS accretion but meaningful earnout exposure.
CBRE is shifting beyond traditional commercial real estate toward resilient, infrastructure-heavy services, with critical infrastructure already growing rapidly alongside data-center construction and AI-related demand. Critical infrastructure revenue rose 68% in Q2 2026, while CBRE says data-center demand remains constrained by power, infrastructure and supply bottlenecks.
The deal directly advances that strategy geographically. CBRE will add Onnec’s network, fiber and data-center infrastructure work across the U.K., Continental Europe and Asia Pacific to its existing U.S. capabilities. Onnec serves hyperscalers with approximately 800 employees. 〔0〕
| Item | Filing figure |
|---|---|
| Upfront cash purchase price | $610 million (Acquisition terms) |
| Maximum earnout | Up to $400 million (Acquisition terms) |
| 2027 Onnec revenue | Approximately $498 million (Acquisition terms) |
| 2027 Onnec core EBITDA | More than $67 million (Acquisition terms) |
| CBRE 2027 Critical Infrastructure Services revenue | Nearly $4.5 billion (Business outlook) |
| Total estimated 2027 infrastructure-services revenue | Nearly $7.0 billion (Business outlook) |
The economics are attractive on the company’s stated assumptions, but not trivial. The $610 million upfront price is roughly 9.1 times the more-than-$67 million of projected 2027 core EBITDA; if the full earnout is paid, the headline consideration rises to about 15 times that EBITDA. The earnout limits some upfront risk because it depends on Onnec meeting growth thresholds, while CBRE says the transaction should be immediately accretive to core EPS.
This is more than a routine bolt-on, but the strategic direction was already established. CBRE had already expanded critical infrastructure through Pearce and was benefiting from strong data-center-related demand, so the new information is the international scale and the price paid—not the decision to pursue the theme. The transaction remains subject to customary approvals and is expected to close around the end of 2026. 〔1〕
Bottom line: This acquisition strengthens CBRE’s push into global data-center infrastructure and adds a meaningful Europe-Asia platform with stated immediate EPS accretion. It matters strategically, though execution and the eventual earnout cost will determine how efficiently that growth is bought.
