Upstart adds $200M revolver for bank launch, with covenants

$200M revolver — Up to $200M facility for Upstart Bank capitalization

Upstart’s new financing supports its planned bank launch, but the facility adds secured debt and still depends on regulatory approvals.

Upstart is shifting from an AI lending marketplace toward operating its own national bank, a move intended to reduce funding and regulatory complexity and expand lending across all 50 states. The OCC granted conditional approval in July 2026, but additional approvals and the bank’s opening were still outstanding.

This financing turns the bank plan into an executable capital step. Upstart Network secured a senior secured revolving facility of up to $200 million, with proceeds available for general corporate purposes, Upstart Bank’s initial capitalization, and permitted investments. 〔0〕 〔1〕

TermFiling detail
FacilityUp to $200 million senior secured revolver (Credit Agreement)
PricingTerm SOFR plus an initial 3.00% margin (Credit Agreement)
MaturityEarliest of 364 days, 45 days after initial bank capitalization, or full repayment (Credit Agreement)
Key liquidity covenantAt least $100 million of liquidity (Credit Agreement)
Leverage covenantMaximum secured gross leverage ratio of 2.50 to 1.00 (Credit Agreement)

The structure supports the launch without committing Upstart to permanent bank funding. Borrowings must be repaid with proceeds from affiliate loan sales to Upstart Bank, and the revolver terminates once repaid. That makes this primarily a bridge through initial capitalization rather than a lasting expansion of balance-sheet leverage. 〔2〕 〔3〕

The trade-off is secured debt and execution dependence. The facility is guaranteed by Upstart and certain subsidiaries and secured by substantially all assets of the borrower, guarantors, and certain trust pledgors; an event of default could accelerate repayment. More importantly, repayment depends on affiliate loan sales after the bank opens, while the filing explicitly says the timing and opening remain subject to regulatory approvals. 〔4〕 〔5〕

Bottom line: This is a constructive financing milestone for an already-public bank strategy, not proof that the bank is operational. It gives Upstart a defined bridge to launch, while leaving regulatory approval and the planned loan-sale repayment mechanism as the key execution gates.
